Terms of Service

1. Acceptance of Terms

By accessing or using Midstream AI (“Midstream,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the service. These terms apply to all users, including merchants, team members, and administrators.

2. Description of Service

Midstream AI is a data analytics platform that connects to your business tools (such as Shopify, QuickBooks, and Klaviyo), syncs and models your data, and allows you to query it through natural language via messaging platforms like Slack. We act as a data processor on your behalf.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

4. Subscriptions and Billing

Midstream AI is offered as a paid subscription service billed through the Shopify App Store. By subscribing, you authorize recurring charges as described at the time of purchase. Subscription fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Free trials, if offered, convert to paid subscriptions at the end of the trial period unless cancelled.

5. Your Data

You retain all ownership rights to the data you connect to Midstream AI. By using our service, you grant us a limited license to access, sync, store, and process your data solely for the purpose of providing the service. We do not sell, share, or use your data for any purpose other than operating Midstream AI on your behalf.

6. Third-Party Integrations

Midstream AI connects to third-party platforms via OAuth. You are responsible for ensuring you have the right to share data from those platforms with us. We access only the data scopes you explicitly authorize. Third-party platforms are governed by their own terms and privacy policies.

7. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to our systems or other users' data.
• Reverse engineer, decompile, or disassemble the service.
• Use the service to store or transmit malicious code.
• Resell, sublicense, or redistribute access to the service without our written consent.
• Interfere with or disrupt the integrity or performance of the service.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any downtime or data delays caused by third-party platforms, infrastructure providers, or events beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, Midstream AI and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that analytics or insights provided by the service are accurate, complete, or suitable for any particular business decision.

11. Termination

You may cancel your subscription at any time through the Shopify App Store. We may suspend or terminate your access if you violate these terms or if required by law. Upon termination, we will delete your data within 30 days unless retention is required by law. Sections that by their nature should survive termination (including liability, disclaimers, and dispute resolution) will survive.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the service at least 30 days before they take effect. Continued use of Midstream AI after changes take effect constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these terms or the service shall be resolved in the courts located in Delaware.
